CTC/CUK AGM 2021
I have looked at the agenda for the AGM, in the case of the special resolutions I am confused. IMHO the numering system used regarding the artical is incorrect.
An example the changes to artical 12.12, that article does not exist in the posted articals, even if you look for the wording that the change refers to there three possible locations for the change and none of them make sence.
Am I reading the agenda incorrectly? or does the CTC need a new drafter of motions?
I have tried to contact CTC HQ to speak to somebody without success.

PS: And the proposed amendment is:
i. In Article 12.12 after “or a written resolution.” insert “Where a general meeting is held as a hybrid or virtual meeting, any inability of a person to attend or participate in the meeting by electronic means shall not invalidate the proceedings of that meeting.”

What is this then?
12.12 A technical defect in the appointment of a Member of which the Members are unaware at the time does not invalidate a decision taken at a general meeting or a written resolution.

IMHO the SR is incorrely drafted the numbering system make no sence in some places.

Why do you say that it doesn't exist?

12.1 Members are entitled to attend general meetings in person or by proxy (but
only if the appointment of a proxy is in writing and notified to the Charity
before the commencement of the meeting).
12.2 General meetings are called on at least 14 and not more than 28 clear
days’ written notice indicating the business to be discussed and (if a special
resolution is to be proposed) setting out the terms of the proposed special
resolution.
12.3 There is a quorum at a general meeting if the number of Members present
in person or by proxy is at least 25 Members.
12.4 The Chair for the time being is to Chair general meetings. If the Chair is
not present within 15 minutes from the time of the general meeting or is
unwilling to act then the Trustees must choose one of their number to chair
the general meeting.
12.5 Except where otherwise provided by the Articles or the Companies Act,
every issue is decided by ordinary resolution.
12.6 Subject to Article 12.7, every Member present in person or by proxy has
one vote on each issue.
12.7 If there is an equality of votes then the chair of the general meeting is
entitled to a second or casting vote.
12.8 Except where otherwise provided by the Articles or the Act, a written
resolution (whether an ordinary or a special resolution) is as valid as an
equivalent resolution passed at a general meeting. For this purpose the
