AGM 2025 - minutes of AGM 2024

In the last magazine we got a copy of minutes of last AGM for approval at this AGM.

Either there's an error in the minutes, or last year's AGM didn't validly change the articles in the way Companies House file has recorded.

The minutes as packed with the magazine have some motions to amend the articles proposed and passed as ordinary resolutions, where they should have been (and may have been) proposed and passed as special resolutions - with special notice, and all the rest.

Can anyone shed any light?

I've emailed membership but no reply for a while - just sent a chaser, but time is short so posting here, too.

Good point. They were listed in the 2024 agenda as Special Resolutions, so those who voted at the time were aware these were Special. The majorities for each resolution were enough to pass a Special resolution (>75%) though one of them was fairly close.

It's the Minutes that are at fault, so they ought to be corrected and reissued before this year's AGM, otherwise this year's AGM should vote to reject the Minutes as they're not a true record.

Where the draft minutes refer to ‘ordinary resolutions’, this should be understood as referring to special resolutions. I thought "we will consider" was too tepid, but missed the boat to say so before the meeting today.
